Terms & Conditions

Important notice

Nothing on this page is legal advice. These terms will be drafted by qualified counsel before mainnet and will govern use of the SportsPerp frontend (the web app at app.sportsperp.xyz). The on-chain protocol itself is permissionless and functions independently of any terms of service.

Relationship between protocol, frontend, and terms

Three distinct surfaces, each with a different legal posture:

A user who interacts with the protocol through a self-hosted frontend, a CLI script, or a third-party UI is not subject to our terms of service. They are subject to the protocol’s on-chain behavior, which is identical for everyone.

Summary of the posture

Pre-publication, our intent is that the mainnet Terms will include:

Acceptance

Using the frontend constitutes acceptance. Users who don’t agree should not use our hosted UI. They may still interact with the on-chain protocol through other means at their own discretion.

Geographic restrictions

The frontend will implement geo-IP restrictions for jurisdictions where:

  • Leveraged crypto derivatives are explicitly prohibited for retail users (selected lists).
  • Sanctions regimes apply (OFAC SDN list, EU / UK sanctions, etc.).
  • Specific regulatory actions require us to restrict access.

Users cannot circumvent geo-restrictions via VPN and expect protection under our terms. The on-chain protocol doesn’t enforce these restrictions; the frontend does.

No fiduciary relationship

SportsPerp is a software protocol, not a financial advisor, broker, or fiduciary. We do not:

  • Manage user funds.
  • Provide investment advice.
  • Guarantee profits or loss prevention.
  • Have custody of user collateral at any time.

Risk acknowledgment

Users acknowledge they have read and understood:

Users acknowledge the risks inherent in leveraged derivatives trading and in emerging-technology smart contracts. Potential loss is bounded by deposited collateral but that collateral can be fully lost.

No warranty

The frontend and protocol are provided “as is” without warranty of any kind. We make no guarantees about:

  • Uptime.
  • Accuracy of real-time data.
  • Timeliness of oracle updates.
  • Performance of off-chain services (keeper, liquidator, monitor).

Users relying on any SportsPerp service should have their own fallback / monitoring plans for mission-critical use cases.

Limitation of liability

To the maximum extent permitted by law, SportsPerp and its contributors are not liable for:

  • Financial losses from trading.
  • Smart contract bugs (subject to the bug bounty reward structure).
  • Oracle manipulation by third parties.
  • Third-party frontend or wallet misbehavior.
  • Force majeure events, including network outages, regulatory actions, and blockchain-level failures.

The specific cap on liability will be defined in the finalized terms — typically to the fees the user has paid to the frontend in the prior 12 months, or a nominal amount, whichever is higher.

User conduct

Users agree not to:

  • Use the frontend to commit fraud, money laundering, or sanctions evasion.
  • Attempt to exploit smart contract bugs for unauthorized gain (the bug bounty is the legitimate channel).
  • Interfere with or damage the protocol, frontend, or off-chain services.
  • Sybil the points program or otherwise abuse incentive systems.
  • Violate applicable laws in their jurisdiction.

Dispute resolution

Arbitration clause (venue TBD), with carve-outs for small-claims and injunctive relief. Exact mechanism finalized with counsel.

Governing law

To be specified (likely a well-established jurisdiction with clear crypto-asset rules, e.g., Cayman Islands, BVI, or Switzerland — TBD by counsel).

Amendment

We reserve the right to update terms. Material changes will be notified with at least 30 days’ advance notice via the frontend and official channels. Continued use after notice constitutes acceptance of the updated terms.

MIT and CC-BY are both permissive — you can fork, modify, redistribute, and use commercially with attribution. See individual LICENSE files in each directory.

Privacy

A dedicated privacy policy will accompany the Terms at mainnet. Pre-publication:

  • We do not collect personal information beyond standard web analytics (page views, referrers) on the frontend.
  • Wallet addresses are public on-chain data — not a personal identifier in our operation, though some jurisdictions treat them as such.
  • Football event data and the derived index computations are non-personal sports statistics.
  • Telegram / Discord handles you share with us are used only for the community purpose you shared them.
